These Terms of Service (“Terms”) apply to your use of speakhup’s website and services (speakhup.uk). Please read them carefully because by using speakhup, you agree to be bound by these Terms. If you’re using speakhup on behalf of an Educational Institution, you agree to these Terms on behalf of that Institution.

Content

Your Contributions. Your contributions on speakhup are yours. By contributing on speakhup, you agree to give us a limited purpose license (i.e., a right) to use your contributions to operate and improve our services as set forth in our Privacy Policy and in accordance with your or your Institution’s settings and instructions. 

As a collaborative platform, you understand that other participants in discussions in which you contribute can view and use your contributions. Participants who are Editors, Admins, and Owners can also edit your contributions. Once participants have access to your contributions, we do not control what they do with them.

Owners and Admins can adjust participant roles, permissions, and sharing settings at any time. Each discussion has one Owner, whose role cannot be changed by other participants. As such, the Owner is the one who ultimately controls all content in a discussion.

You are solely responsible for your contributions on Speak Hup and assume all risks associated with them, including intellectual property or other legal claims. By contributing content, you represent that you have the necessary rights to that material, and that doing so does not conflict with other agreements you have made.

We do not screen anyone’s contributions, but we have the right—though no duty—to review and remove them if they are found to be in violation of these Terms. We assume no liability for content that you or others post on our site.

Speak Hup’s Content and Brand Features. Speak Hup is protected by copyright, trademark, and other laws.

Speak Hup gives you a personal, worldwide, royalty-free, non-transferable and non-sublicensable, simple and non-exclusive right to use our services for educational purposes. This license (i.e., right) is for the sole purpose of enabling you to use Speak Hup as permitted by these Terms. If you violate these Terms, we may terminate this license (i.e., right) and you will not be permitted to use Speak Hup.

You may not use any of Speak Hup’s trademarks, logos, domain names, or other distinctive brand features without our explicit prior written permission, except as otherwise permitted by law.

Community Guidelines

Speak Hup strives to provide a great service. To that end, we ask that you respect these rules, and we reserve the right to terminate your account if you don’t follow them.

  • Don’t useSpeak Hup in a manner that violates any laws, regulations, ordinances, or directives.
  • Don’t use Speak Hup contrary to our policies.
  • Don’t use Speak Hup to do anything threatening, abusive, harassing, defamatory, tortious, obscene, profane, or invasive of another person’s privacy.
  • Don’t interfere with the proper functioning of any software, hardware, or equipment on Speak Hup or Speak Hup more generally.
  • Don’t engage in any conduct that inhibits anyone else’s use or enjoyment of Speak Hup, or which may harm Speak Hup, Speak Hup, or our users.
  • Don’t impersonate others on Speak Hup in a manner that is intended to or actually does confuse, deceive, or mislead other people.

Crawling and Exporting Speak Hup

Crawling Speak Hup for indexing purposes is allowed in accordance with our robots.txt instructions. Do not crawl, scrape or download Speak Hup in any automated or manual fashion for any other purposes.

You are free to download your own private discussions for educational purposes via our export functionality.

Our public discussions and other educational resources (collectively, “educational resources”) are published under a Creative Commons CC BY-NC-SA 4.0 license.. We grant you a limited license (i.e., a right) to use our educational resources as follows:

  • You must give appropriate credit, provide a link to the license, and indicate if changes were made. You may do so in any reasonable manner, but not in any way that suggests Speak Hup endorses you or your use.
  • You may not use the material for commercial purposes.
  • If you remix, transform, or build upon the material, you must distribute your contributions under the same license as we have granted you. You may not apply legal terms or technological measures that legally restrict others from doing anything the license permits.

For the above purposes you may download our educational resources using our export functionality.

If your intended use case is not covered by the aforementioned license or by standard fair use, contact support@speakhub.uk to receive written permission for your use case. For clarity, we consider taking and using screenshots of Speak Hup discussions, including those published by us, to fall within fair use provisions.

Our Rights

We are always working to improve Speak Hup, so we reserve some rights. We reserve the right to change our services from time to time, and modify, suspend, or terminate user accounts in our sole discretion at any time for any reason. Speak Hup is not liable for any damages as a result of these actions.

Other Sites and Services

Speak Hup contains links to websites and other services that we neither own nor control. We don’t endorse or assume responsibility for any third-party sites, information, materials, products, or services.

Privacy

Our Privacy Policy governs our collection and use of your personal information, which is incorporated via these Terms.

Security

We take the security of Speak Hup very seriously and work hard to protect your content and account, but we can’t absolutely guarantee that third parties won’t be able to defeat our security measures. Please let us know immediately if you discover any compromise or unauthorized use of your account by contacting

Children

Individuals under the age of 13 in the United States, or the age where school or parental consent is required to use Speak Hup under the applicable law of your jurisdiction (individually, a “Child,” and collectively, “Children”) are not permitted to use Speak Hup unless enrolled by their legal guardian or Educational Institution.

Copyright

Speak Hup’s copyright policy complies with the Digital Millennium Copyright Act. For more information, see our Copyright Policy.

Account Termination

You can delete your Speak Hup account by contacting your Educational Institution or, if you are using Speak Hup independently of an Institution, by sending an email .

Disclaimers

Speak Hup is provided “as is” without any warranties, express or implied.

Speak Hup disclaims all warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement.

(Some states don’t allow these disclaimers, so this provision might not apply to you.)

Limitation of Liability

To the fullest extent allowed by law, Speak Hup shall not be liable for any indirect, incidental, special, consequential, or punitive damages, any loss of profits or revenues, or any loss of data, use, goodwill, or other intangible losses resulting from (A) your access to, use of, inability to access, or inability to use Speak Hup; (B) any third-party conduct or content on Speak Hup, including any defamatory, offensive, or illegal conduct of third parties; or (C) any unauthorized access, use, or alteration of your content.

(Some states don’t allow these limitations, so this provision might not apply to you.)

Dispute Resolution

We’d like to resolve any disputes fairly and quickly. Toward that end, if you have any issue with Speak Hup, please contact us via support@speakhub.uk and we’ll work with you in good faith to try to resolve the matter. We do not use the European Court of Arbitration.

Governing Law and Jurisdiction

These Terms will be governed by the laws of Germany, unless, and to the extent that (i) applicable federal, state, international, and/or provincial law of the jurisdiction in which you or your institution is located requires governance of the law of another jurisdiction, or (ii) is required by contract.

Entire Agreement and Severability

The Terms, and the other materials incorporated by reference, constitute the full and entire agreement between you and Speak Hup. If any provision of these Terms is found to be unenforceable, the remaining provisions of these Terms will remain in full force and effect.

No Waiver

No waiver of any provision of these Terms shall be a further or continuing waiver of that term. Speak Hup’s failure to assert any right or provision under these Terms does not constitute a waiver of that right or provision.
